Job Position 1: Board Secretary / Company Secretary and Legal Officer

| Experience | Minimum 2–4 years of relevant professional experience in company secretariat, corporate governance, legal, compliance, banking, microfinance or related financial services. Experience supporting a Board of Directors is highly desirable. |
Key Duties and Responsibilities
.Provide professional secretarial and governance support to the Board of Directors and Board Committees.
• Prepare and coordinate Board and Committee meeting agendas, notices, minutes, resolutions and supporting documents.
• Maintain accurate and up-to-date Board minutes, resolutions, statutory registers and corporate records.
• Follow up and document implementation of decisions and action points of the Board and its Committees.
• Facilitate effective communication among the Board, management, shareholders and relevant regulatory authorities.
• Advise the Board and management on corporate governance, legal and compliance matters within the scope of the position.
• Ensure that Board and corporate governance activities are conducted in accordance with applicable laws, directives, the Articles/Memorandum of Association and internal policies.
• Maintain strict confidentiality of Board, shareholder and institutional information.
• Perform other duties assigned by the Board Chairperson or Chief Executive Officer in accordance with applicable rules.
• Provide legal advice to the Institution, management and relevant officers on operational and corporate matters.
• Review, draft and advise on contracts, agreements, legal notices, policies and other legal documents.
• Monitor compliance with applicable laws, regulations, National Bank of Ethiopia directives and internal policies relevant to the Institution.
• Handle and follow up legal cases and litigation matters involving the Institution, including preparing legal documents, representing or coordinating representation before courts and relevant authorities, and monitoring cases through to resolution.
.Provide legal support in loan recovery cases, including preparation of demand letters, legal notices, court documents and other necessary legal actions.
.Coordinate with external advocates, courts and relevant government offices on litigation and other legal matters when necessary.
• Conduct legal research and provide written opinions and recommendations.
• Support corporate governance and Board-related legal and compliance activities.
• Maintain proper legal files, records and confidentiality of institutional information. • Identify legal risks and recommend appropriate mitigation measures
General Competencies Required for Both Positions
• Strong knowledge of Ethiopian legal, corporate governance and regulatory frameworks relevant to the financial sector.
• Excellent written and oral communication skills in English and Amharic; additional local-language proficiency is an advantage.
• Strong minute-taking, report-writing, documentation and organizational skills.
• High level of integrity, professionalism, discretion and confidentiality.
• Strong analytical, problem-solving and negotiation skills.
• Proficiency in Microsoft Office applications.
• Ability to work independently, meet deadlines and work effectively with senior management, Board members and external stakeholders.
Job Position 2: Branch accountant
Job Summary
Tesfa Microfinance Institution S.C. is seeking a qualified and experienced heywet (A.A) Branch Accountant
The Accountant is responsible for managing and maintaining accurate financial records, processing transactions, and supporting financial reporting activities. The role ensures compliance with accounting standards and internal policies while contributing to the overall financial health of the institution.
Key Duties and Responsibilities
- Prepare and maintain financial records and reports
- Handle daily accounting transactions accurately
- Ensure compliance with financial policies and procedures
- Assist in budget preparation and financial analysis.
Qualifications and Requirements
- BA Degree/Diploma in Accounting, Finance, or related field
- Minimum 0–3 year’s relevant experience in microfinance or banking sector.
- Good knowledge of accounting principles and software
- Strong attention to detail and integrity
